The inquirer further represents and agrees that in determining whether to pursue a BMW Motorcycle dealership in the USA and to undertake all of the commitments related thereto, it is relying upon its own independent evaluation of the business opportunity and is not relying on any representation, promise, guaranty, or information provided by BMW Motorrad USA or any employee, agent or representative of BMW Motorrad USA.
The inquirer also acknowledges the cyclical nature of the motorcycle retail industry and fully assumes the risks therein. The inquirer further agrees that BMW Motorrad USA’s approval of any Dealer application is in no way mean to indicate BMW Motorrad USA’s concurrence with or approval of the Inquirer’s evaluation of the business opportunity, its long-term financial projections, or the inquirer’s ability to attain such objectives. The inquirer represents and warrants to BMW Motorrad USA that they have retained or will retain such professionals, including appraisers, accountants and attorneys, as they deem necessary to review any proposed transaction and advise them in connection with their due diligence on any such proposed transaction.
